Subscription & Billing Agreement

Terms governing Supporter and Elite Supporter subscription services for Sky Isles by Apex Games.

Important Billing Notice

By subscribing to any Apex Games subscription plan, you are agreeing to a recurring payment arrangement. Your subscription will automatically renew each billing period unless cancelled. Please read this agreement carefully before subscribing. This agreement supplements our Terms of Service and Privacy Policy.

1. Subscription Overview

This Subscription and Billing Agreement ("Agreement") governs your purchase and use of subscription services ("Subscription Services") offered by Apex Games for Sky Isles. By subscribing, you agree to be bound by this Agreement, our Terms of Service, and Privacy Policy.

1.1 Parties to This Agreement

This Agreement is between you ("Subscriber," "you," or "your") and Apex Games ("we," "us," or "our"). By clicking "Subscribe" or otherwise indicating your acceptance, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1.2 Nature of Subscription

Our subscription services provide access to exclusive digital content, community features, and benefits as described for each subscription tier. Subscriptions are digital services and do not constitute a purchase of physical goods.

2. Billing Terms & Payment

2.1 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By subscribing, you authorize Stripe to charge your selected payment method for the subscription fee. Apex Games does not store your complete payment card information; this is handled securely by Stripe in accordance with PCI-DSS standards.

2.2 Accepted Payment Methods

We accept the following payment methods through Stripe:

  • Major credit cards (Visa, Mastercard, American Express, Discover)
  • Major debit cards
  • Other payment methods as supported by Stripe in your region

2.3 Billing Cycle

Subscriptions are billed on a monthly basis. Your billing cycle begins on the date of your initial subscription purchase. Subsequent charges will occur on or around the same date each month. If your billing date falls on a day not contained in a given month, you may be billed on the last day of that month.

2.4 Currency & Taxes

All prices are displayed and charged in United States Dollars (USD). You are responsible for any applicable taxes, including but not limited to sales tax, VAT, or other governmental charges based on your location. These may be added to your subscription fee where required by law.

2.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, your subscription may be suspended or cancelled. We are not responsible for any fees charged by your bank or payment provider due to failed payment attempts.

3. Subscription Tiers & Benefits

3.1 Supporter Tier ($3.99/month)

The Supporter tier includes the following benefits:

  • Exclusive Discord roles identifying you as a Supporter
  • Access to exclusive Discord channels with development leaks and previews
  • Ability to request a custom in-game chat tag through Discord support
  • Behind-the-scenes content and early announcements

3.2 Elite Supporter Tier ($11.99/month)

The Elite Supporter tier includes all Supporter benefits plus:

  • Elite Supporter branding and Discord roles
  • Exclusive premium dark website theme
  • Opportunity to participate in game events and live streams
  • Potential access to test features before public release (not guaranteed)
  • Priority support in Discord for game and Discord-related issues

3.3 Benefit Modifications

We reserve the right to modify, add, or remove benefits from any subscription tier at any time. Material changes that significantly reduce the value of your subscription will be communicated at least 30 days in advance, and you will have the option to cancel before the changes take effect.

4. Automatic Renewal

4.1 Renewal Terms

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis without requiring your prior approval for each recurring charge.

4.2 Renewal Notifications

We will send a reminder email to the email address associated with your account at least 3 days before each renewal. It is your responsibility to ensure your email address is current and that you receive these notifications.

4.3 Renewal Price

Renewals will be charged at the then-current subscription price. If we increase prices, you will be notified in advance as described in Section 6.

5. Cancellation & Refunds

5.1 How to Cancel

You may cancel your subscription at any time through your account settings on our website or by contacting us at legal@apexplatforms.com. Cancellation requests are processed within 24-48 hours.

5.2 Effect of Cancellation

When you cancel, your subscription will remain active until the end of your current billing period. You will retain access to subscriber benefits until your subscription expires. After expiration, your access to subscriber-only content and benefits will be terminated.

5.3 No Refund Policy

ALL SUBSCRIPTION PAYMENTS ARE NON-REFUNDABLE.

By subscribing, you acknowledge and agree that all subscription fees are final and non-refundable. This includes, but is not limited to:

  • Initial subscription charges
  • Automatic renewal charges
  • Tier upgrade charges
  • Partial month charges

Exceptions: Refunds may only be provided in the following limited circumstances, at our sole and absolute discretion:

  • Verified technical errors resulting in duplicate charges for the same billing period
  • Confirmed fraudulent charges made without your authorization (requires verification)

If you believe you qualify for an exception, you must contact legal@apexplatforms.com within 7 days of the charge with supporting documentation. We reserve the right to deny any refund request.

5.4 No Prorated Refunds

We do not provide prorated refunds for any reason. If you cancel mid-cycle, you will retain access until the end of your current billing period but will not receive any refund for the unused portion. By subscribing, you accept this policy.

5.5 Chargeback Warning

Filing a chargeback or payment dispute without first contacting us may result in immediate termination of your account and permanent ban from all Apex Games services. If you have a legitimate billing concern, please contact us first at legal@apexplatforms.com.

6. Price Changes

6.1 Right to Modify Prices

We reserve the right to change subscription prices at any time. Price changes will not affect your current billing period.

6.2 Notice of Price Changes

If we increase prices, we will notify you via email at least 30 days before the price change takes effect for your account. The notification will include the new price and the date it will apply to your subscription.

6.3 Your Options

If you do not agree to a price increase, you may cancel your subscription before the new price takes effect. Continuing your subscription after receiving notice of a price increase constitutes acceptance of the new price.

7. Benefit Delivery

7.1 Delivery Process

Certain subscription benefits, including Discord roles and in-game chat tags, require manual delivery through our Discord support system. After subscribing, you must open a support ticket in our official Discord server to receive these benefits.

7.2 Delivery Timeframe

We aim to deliver manually-fulfilled benefits within 24-72 hours of your support request during normal business hours. Delivery times may be longer during weekends, holidays, or periods of high volume.

7.3 Verification Requirements

To receive your benefits, you may be required to verify your subscription status and link your accounts. Failure to complete verification may delay or prevent benefit delivery.

8. Account Requirements

8.1 Linked Account Required

You must have a valid account on our website linked to your Roblox account to subscribe. Subscription benefits are tied to your linked account and are non-transferable.

8.2 Account Standing

Your account must be in good standing to maintain subscription benefits. If your account is suspended or banned for violations of our Terms of Service, your subscription benefits may be suspended without refund.

8.3 One Subscription Per Account

Each account may only hold one active subscription. Upgrading from Supporter to Elite Supporter will replace your existing subscription at the higher rate.

9. Termination by Apex Games

9.1 Grounds for Termination

We may terminate your subscription without refund if:

  • You violate our Terms of Service or Community Guidelines
  • You engage in fraudulent activity or chargebacks
  • You abuse subscription benefits or attempt to circumvent restrictions
  • Your account is terminated for any reason

9.2 Service Discontinuation

If we discontinue the subscription service entirely, we will provide at least 30 days notice and will not charge for any periods after the discontinuation date. You will retain access until the end of your current paid period.

10. Disputes & Chargebacks

10.1 Contact Us First

If you have a billing dispute, please contact us at legal@apexplatforms.com before initiating a chargeback with your bank or card issuer. We are committed to resolving disputes fairly and promptly.

10.2 Chargeback Policy

Initiating a chargeback without first attempting to resolve the issue with us may result in immediate termination of your account and subscription, ban from future purchases, and pursuit of the disputed amount through appropriate legal or collection channels.

11. Governing Law & Jurisdiction

11.1 Governing Law

This Agreement and any dispute arising from or relating to your subscription shall be governed by and construed in accordance with the laws of the State of Washington, United States of America, without regard to its conflict of law principles.

11.2 Venue and Jurisdiction

All legal proceedings arising out of or relating to this Agreement or your subscription shall be handled exclusively in the state and federal courts located in Washington State, United States. You irrevocably consent to the exclusive jurisdiction and venue of these courts and waive any objections based on inconvenient forum or lack of personal jurisdiction.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX GAMES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR SUBSCRIPTION OR USE OF SUBSCRIPTION BENEFITS.

Our total liability for any claims arising from this Agreement shall not exceed the total amount you paid for your subscription in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above limitations may not apply.

Acknowledgment

By subscribing to any Apex Games subscription service, you acknowledge that you have read, understood, and agree to be bound by this Subscription and Billing Agreement, as well as our Terms of Service and Privacy Policy. You understand that your subscription will automatically renew and your payment method will be charged unless you cancel before the renewal date.
